    03

    Account Registration & Responsibilities

To access certain features or client portals, you may be required to register an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access, security breach, or suspected compromise of your account.

    04

    Payment Terms & Billing

Fees for our services are set forth in your agreement, service tier selection, or statement of work. All fees are quoted in U.S. Dollars and are non-refundable unless explicitly stated otherwise in writing.

For recurring subscriptions or installment plans, you authorize Volt Automation to automatically charge your designated payment method on each billing date. In the event of a failed payment, we reserve the right to suspend or terminate service access until all outstanding balances are paid in full.

    05

    Intellectual Property Rights

All custom designs, code, software, graphics, branding, domain systems, workflows, and proprietary materials created by Volt Automation remain the intellectual property of Volt Automation or its licensors, subject to the rights granted to you under your client agreement.

Upon full payment of all applicable fees, you receive a non-exclusive, non-transferable license to use the custom website design, content, and materials delivered as part of your active service subscription for your internal business operations.

    06

    Client Content & Data Ownership

You retain full ownership of all logos, trademarks, business information, photos, text, and customer data that you upload or provide to us ('Client Content'). You grant Volt Automation a worldwide, royalty-free license to use, display, host, and transmit your Client Content solely as necessary to perform the services.

You represent and warrant that you own or have obtained all necessary licenses, permissions, and rights to provide Client Content to Volt Automation and that doing so does not infringe any third-party rights.

    07

    Service Availability & Support

Volt Automation provides technical support, maintenance, and website updates according to your chosen service package. We make reasonable efforts to deliver rapid turnaround times for support tickets and maintain standard platform security updates.

Scheduled maintenance, server upgrades, or unexpected third-party provider outages may occasionally interrupt service availability. We are not liable for temporary service delays or interruptions beyond our reasonable control.

    08

    Limitation of Liability

To the maximum extent permitted by law, Volt Automation, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenues, or business opportunities, arising out of or related to your use of our services.

In no event shall our total aggregate liability for all claims arising from or relating to the services exceed the total amount of fees paid by you to Volt Automation in the twelve (12) months preceding the event giving rise to liability.

    09

    Termination & Cancellation

Either party may terminate or cancel ongoing services according to the notice periods specified in your service agreement or contract terms. Upon cancellation, your access to active hosting, automated workflows, and managed systems will be discontinued at the end of your billing cycle.

Volt Automation reserves the right to immediately suspend or terminate your account or service access if you breach these Terms, fail to pay invoices when due, or engage in unlawful or abusive conduct.

    10

    Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without giving effect to any principles of conflicts of law.
